Jared provides his business clients with legal counsel on entity formation and organization, general corporate matters, equity incentive plans, financing and capital markets, and mergers and acquisitions.

Jared advises clients on all aspects of entity formation, including choice of entity decisions, and prepares all related governing documents such as bylaws, shareholder agreements, and operating agreements. Once an entity is formed, Jared aids his clients with general corporate matters such as equity compensation arrangements, including profits interests, stock options, and phantom equity plans. He also helps his clients with commercial contracts, such as master services agreements, independent contractor agreements, and data licensing agreements.

Jared represents companies, as well as angel investors and venture capital investors making investments in private companies. He has experience with capital raising through the sale of convertible debt, SAFEs, and common and preferred stock sales.

Jared has successfully represented his clients on complicated deals worth as much as a billion dollars in transaction value. He represents private companies, public companies, and private equity clients across all categories of participants in M&A transactions and has represented clients across a wide array of industries, including the health care, technology, software, design, manufacturing, and professional services industries.

Anne Lee joined SPC early 2019. Anne evaluates and executes new investment opportunities and works closely with several portfolio companies.

Prior to joining SPC, Anne was an Investment Banking Associate and Analyst at Perella Weinberg Partners, where she focused on M&A transactions in the Consumer & Retail Group. Previously, she was an Investment Banking Analyst at Macquarie Capital. She received a B.S. degree in Finance and Marketing from the Stern School of Business at New York University.

 

Zach Leonard

Zach Leonard has over 15 years of commercial banking experience working with companies and private equity firms across the Western US. He works with privately held, public, and sponsor-backed businesses providing senior lending, treasury, and capital markets services. Zach has worked on a large variety of transactions ranging in size from $10 million to over $2 billion. His primary responsibilities include business development, evaluating and structuring new opportunities, and relationship management.

Eric Miller is an experienced investor and operator with over 19 years in business growth and investment. He co-founded Eagle River Capital in 2017, focusing on both organic growth and acquisitions. Prior to this, Eric co-founded Kodiak Building Partners, a Denver-based acquirer of building products companies, which was sold in 2017 to Court Square Capital Management. At Eagle River and Kodiak, Eric has built expertise in logistics, retail, manufacturing, service, and distribution. He holds a Master’s in Finance (2010) and a Bachelor’s in Business Administration (2005) from the University of Denver.
